    Data usage terms have always mattered in vendor contracts, but AI tools raise the stakes in a way traditional SaaS contracts mostly didn't have to address: what happens to your data once it passes through a model, not just where it's stored.

    Standard SaaS data terms typically cover storage, access, and deletion: where your data lives and who can see it. AI vendor contracts raise an additional question. Is your proprietary data, prompts, documents, business information, being used to train or improve the vendor's underlying models, and if so, does that use extend beyond your own account.

    Data usage and training terms for AI products are often addressed in separate documentation from the core commercial contract: a data processing agreement, an AI-specific terms addendum, sometimes a general terms of service that changes more frequently than the master agreement. It's easy for this specific question to go unasked amid the broader excitement of adopting a new AI capability.

    What to specifically check before signing

    • Whether your data, prompts, and outputs are used to train the vendor's models by default, or only with explicit opt-in
    • Whether enterprise or business tier plans include different data usage terms than free or lower tiers, which is common and matters
    • What happens to data already processed if you later opt out or leave the vendor
    • Whether the terms distinguish between fine-tuning for your own account, which may be reasonable, and broader model training that benefits other customers

    Why this matters beyond privacy compliance

    Beyond regulatory exposure, there's a genuine competitive question. If proprietary business information is being used in ways that could indirectly benefit the training of a general-purpose model, that's a different kind of cost than a subscription fee: harder to quantify, but real.
